Terms of Service

Welcome to Broadsignal (“Company”, “we”, “us”, or “our”). These Terms of Service (“Terms”) govern your access to and use of our website, applications, and services (collectively, the “Service”). By using Broadsignal, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

You must be at least 13 years old (or older if required by your local laws) to use the Service. If you are using Broadsignal on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

You may not copy, modify, or distribute any part of the Service without our prior written consent.

Any feedback, suggestions, or ideas you provide about Broadsignal are entirely voluntary, and we may use them without any obligation to you.

The Service may contain links to third-party websites or integrations with external services (e.g., payment processors, analytics tools). We do not control or endorse those third parties, and we are not responsible for their content, privacy practices, or terms. Your interactions with third parties are solely between you and them.

If Broadsignal offers paid plans or subscriptions, you agree to pay all fees specified at the time of purchase. Fees are non-refundable unless otherwise required by law. We may change our pricing with reasonable notice. You are responsible for any taxes applicable to your payments.

7. Termination

You may stop using the Service at any time. We may suspend or terminate your access to the Service at our sole discretion, without notice, for conduct that violates these Terms or harms other users or us. Upon termination, your right to use the Service ends immediately, and we may delete your data as described in our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE FULLEST EXTENT PERMITTED BY LAW, BROADSIGNAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES. YOU USE THE SERVICE AT YOUR OWN RISK. AS A PRE-SEED STARTUP, WE MAY NOT YET HAVE ENTERPRISE-LEVEL RELIABILITY OR SUPPORT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BROADSIGNAL AND ITS FOUNDERS, EMPLOYEES, OR AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US (IF ANY) IN THE PAST THREE MONTHS OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO THIS MAY NOT APPLY TO YOU.

You agree to indemnify and hold Broadsignal and its personnel harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your violation of these Terms, your misuse of the Service, or your violation of any third-party rights.

11. Governing Law & Dispute Resolution

These Terms shall be governed by the laws of Canada, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the Service shall be resolved exclusively in the state or federal courts located in Canada. You consent to the personal jurisdiction of those courts.

If you are a consumer in the EU or another jurisdiction that requires arbitration or specific dispute resolution, that requirement will apply instead. We encourage you to contact us first at legal@broadsignal.io to resolve any dispute informally.

12. Changes to These Terms

We may revise these Terms from time to time. For minor changes, we will post the updated Terms on this page with a new Effective Date. For material changes (e.g., changes to your rights or fees), we will notify you by email or through the Service. By continuing to use Broadsignal after changes take effect, you agree to the revised Terms.

13. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right or provision does not waive that right. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Broadsignal regarding your use of the Service.
